These Terms and Conditions ("Terms") govern your use of morvexmedia.com and any services provided by Morvex Media ("we", "us", "our"). By using our Website or services, you agree to these Terms.
1. Services
Morvex Media provides digital marketing services including Meta Ads, Google Ads, SEO, social media management, affiliate marketing, performance marketing, web design and content creation. The exact scope, deliverables, timelines and fees for each client are set out in a separate proposal, quote or service agreement.
2. Client Responsibilities
- Provide accurate information, timely approvals and access to required accounts and assets
- Ensure all products, offers and materials you supply comply with applicable laws and platform policies
- Pay advertising spend directly to platforms (unless agreed otherwise) and pay our fees on time
3. Fees and Payment
Fees are as stated in your proposal or agreement. Unless agreed otherwise, monthly retainers are billed in advance. Late payments may result in paused services. Ad spend is separate from our management fees.
4. No Guarantee of Results
Marketing results depend on many factors outside our control, including market conditions, competition, platform algorithms, your product, pricing and website. While we work hard to achieve your goals, we do not guarantee specific results such as rankings, sales, leads or return on ad spend.
5. Third-Party Platforms
Our services rely on third-party platforms such as Meta, Google, TikTok and affiliate networks. We are not responsible for their policies, outages, account restrictions, disapprovals or changes.
6. Intellectual Property
Upon full payment, the client owns the final deliverables created specifically for them, unless otherwise agreed. We retain ownership of our internal tools, processes, templates and know-how. We may showcase non-confidential work in our portfolio unless you ask us not to.
7. Confidentiality
Both parties agree to keep confidential any non-public business information shared during the engagement.
8. Term and Termination
Unless your agreement states otherwise, either party may end ongoing services with 30 days' written notice. Fees for work already performed remain payable. See our Refund Policy for details.
9. Limitation of Liability
To the maximum extent permitted by law, Morvex Media is not liable for any indirect, incidental or consequential damages, including lost profits or data. Our total liability is limited to the fees you paid us in the three months before the claim.
10. Website Use
You agree not to misuse the Website, attempt unauthorised access, or use it for any unlawful purpose. Website content is provided for general information only.
11. Governing Law
These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict of law principles.
12. Changes
We may update these Terms at any time. Continued use of the Website or services after changes means you accept the updated Terms.
